Siegwerk Druckfarben AG changes legal form

Siegwerk, the world’s third largest printing ink manufacturer, took on the legal form of an “AG & Co. KGaA” for its German entity based in Siegburg on May 2, 2011. Compared to a pure limited company under German law, this legal form is especially well tuned to Siegwerk’s character as a family-owned business.

The “Kommanditgesellschaft auf Aktien” or “KGaA” is a joint-stock company, just like the “Aktiengesellschaft” (AG), and is thus subject to the German laws concerning worker participation in management. In changing its legal form, Siegwerk is following the recent examples of other well-known family-owned companies in Germany, like Henkel, Fresenius, Drägerwerk, Schwartauer, Warburg and Metzler.

All existing bodies at Siegwerk remain in place – i.e. Board of Management, Supervisory Board, shareholders and Shareholders’ Meeting. They secure the company philosophy, which is geared to independence and sustainable entrepreneurial success.
